Terms and Conditions — Night Protocol LLC

1. Acceptance of Terms

By accessing or using the domain(s) listed at the end of this document and any related services, applications, or platforms (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all Terms, you may not use the Platform. Night Protocol LLC ("Company," "we," "us," or "our"), a Wyoming limited liability company, reserves the right to modify these Terms at any time. Continued use of the Platform following any modification constitutes acceptance of the revised Terms.

2. Eligibility and Age Verification

The Platform contains adult content and is intended solely for individuals who are 18 years of age or older. By accessing the Platform, you represent and warrant that:

• You are at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater
• You have the legal right and capacity to enter into these Terms
• You are not located in a jurisdiction where access to adult content is prohibited or restricted by law
• You are not accessing the Platform on behalf of or for the benefit of any minor

The Company reserves the right to verify your age at any time and to terminate or suspend your access if verification cannot be confirmed. Providing false information regarding your age or eligibility constitutes a material breach of these Terms.

3. Account Registration

To access certain features of the Platform, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to keep such information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. The Company reserves the right to terminate accounts, remove content, or restrict access at its sole discretion and without prior notice.

4. Points System

4.1 No Monetary Value

The Platform may offer a points-based system ("Points") as part of its user experience. Points are an entirely internal, non-monetary engagement mechanism. Points have no monetary value, no cash equivalent, no exchange value, and cannot be redeemed for currency, goods, or services outside the Platform. The Company makes no representation that Points hold any value whatsoever. Any payouts to content creators are unique contractual agreements that are not directly tied to the points system.

4.2 Arbitrary Allocation

The issuance, accrual, adjustment, forfeiture, or revocation of Points is entirely at the Company's sole and absolute discretion. Points may be awarded, reduced, or eliminated at any time and for any reason, including but not limited to platform changes, technical errors, policy violations, or account termination.

4.3 No Obligation to Maintain

The Company has no obligation to maintain, continue, or honor the Points system in any form. The Company may modify, suspend, or permanently discontinue the Points system, or any element thereof, at any time without notice and without liability to any user.

4.4 No Consideration

Points do not constitute property, a financial instrument, a security, or any form of consideration. No user may claim any legal right, entitlement, or interest in Points. Points are not transferable, except as expressly authorized by the Company.

4.5 Scope of Fees and Points

Any fees associated with the Platform apply solely to content viewing and in-platform tipping, as applicable. Under no circumstances do fees, payments, or Points apply to the act of meeting other users or attending events. This separation is fundamental to the Platform's design.

5. User Content and Conduct

By submitting, uploading, posting, or otherwise transmitting content to the Platform ("User Content"), you represent and warrant that:

• You own or have all necessary rights, licenses, and permissions to submit the User Content
• All individuals depicted in User Content are at least 18 years of age
• You have obtained all required consents, releases, and permissions from individuals depicted
• User Content does not infringe the intellectual property, privacy, or other rights of any third party
• User Content complies with all applicable local, state, federal, and international laws

By submitting User Content, you grant the Company a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, host, store, reproduce, modify, display, and distribute your User Content in connection with the operation and promotion of the Platform.

6. Prohibited Content

The following content is strictly prohibited on the Platform. Violation may result in immediate account termination, content removal, and referral to law enforcement:

• Any depiction, description, or simulation of minors in a sexual or suggestive context
• Non-consensual sexual content, including the distribution of intimate images without consent
• Content that depicts, promotes, or facilitates sexual exploitation, trafficking, or coercion
• Child sexual abuse material (CSAM) in any form — zero tolerance, reported immediately to NCMEC and law enforcement
• Content that violates the privacy rights of any individual, including unauthorized recordings or doxxing
• Content promoting, facilitating, or depicting illegal acts of violence, self-harm, or harm to others
• Hate speech that promotes violence against individuals based on race, ethnicity, religion, gender identity, sexual orientation, disability, or national origin
• Spam, phishing, malware, or any malicious code or content
• Impersonation of any person, entity, or brand
• Unauthorized collection of user data or content scraping
• Any content that violates applicable obscenity or indecency laws

7. Prohibited Uses

You may not use the Platform to:

• Engage in any activity that violates any applicable local, state, national, or international law
• Harvest, scrape, or collect user information without authorization
• Circumvent, disable, or interfere with security features of the Platform
• Access or attempt to access any account or system for which you lack authorization
• Reverse-engineer, decompile, or disassemble any portion of the Platform
• Use automated tools (bots, crawlers, scrapers) to access or index the Platform without written consent
• Attempt to introduce malicious code or interfere with Platform infrastructure
• Engage in any commercial activity not expressly authorized by the Company

8. Intellectual Property

All Platform content not submitted by users — including software, design, graphics, trademarks, and editorial content — is the exclusive property of Night Protocol LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Platform content without prior written permission.

9. DMCA and Copyright Complaints

The Company will respond to properly submitted notices of alleged copyright infringement. If you believe your copyrighted work has been reproduced without authorization, submit a written notice to the designated agent (see Section 18). Your notice must include all elements required under 17 U.S.C. § 512(c)(3). Counter-notices may be submitted in accordance with 17 U.S.C. § 512(g).

10. Payment and Billing

Purchases on the Platform are processed through third-party payment processors. All transactions are subject to the applicable processor's terms. The Company does not store payment card data. All sales are final unless otherwise required by applicable law. Unauthorized chargebacks may result in account suspension.

11. Service Availability and Modifications

The Company reserves the right to modify, suspend, or discontinue the Platform, or any feature thereof, at any time and without notice. The Company shall have no liability for any modification, suspension, or discontinuation. The Company does not guarantee uninterrupted availability.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NIGHT PROTOCOL LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM. THE COMPANY'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE LESSER OF (A) AMOUNTS PAID BY YOU IN THE PRECEDING 12 MONTHS, OR (B) USD $100.00.

14. Indemnification

You agree to indemnify, defend, and hold harmless Night Protocol LLC and its members, managers, officers, employees, agents, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of applicable law; or (e) your violation of any third-party rights.

15. Privacy

Your use of the Platform is governed by our Privacy Policy, incorporated herein by reference. By using the Platform, you consent to the collection and use of your information as described therein.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in Wyoming. The Company may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

17. Termination

The Company may terminate or suspend your access at any time, for any reason, with or without notice, and without liability. Upon termination, your right to use the Platform ceases immediately. Sections 8, 12, 13, 14, and 16 survive termination.
